Terms of Service
The agreement between you and Spotbo, Inc. for use of Vandial.

1. Who this agreement is with
Vandial is operated by Spotbo, Inc., trading as VCorp Holdings, of 1111B S Governors Ave STE 29027, Dover, DE 19904, United States. In these terms, "we" and "us" mean that company, and "you" means the business that has created an account.
By creating an account or using the service you accept these terms. If you are accepting on behalf of a company, you confirm you are authorised to bind it.
2. What the service does
Vandial answers telephone calls made to a number you have connected, holds a conversation with the caller, records what was said, classifies the call, and — where your configuration permits — books an appointment into a calendar you have connected and sends confirmation messages.
The agent follows the configuration on your account: the questions it asks, the call types it recognises, the rates it may state and the lines it must not cross are all settings you control. You are responsible for the accuracy of that configuration, including any prices, service areas and hours it repeats to your customers.
3. It is not a person, and it is not an emergency service
The agent is software. It can misunderstand a caller, mishear a name, or fail entirely — through our fault, a telephone carrier's, or a supplier's.
It is not an emergency service and must not be relied on as one. Where a caller describes a life-safety situation the agent is configured to instruct them to contact the emergency services directly, and it will not book, price, or advise on such a call. You must not configure it to do otherwise, and you must not present it to your customers as a route to emergency help.
4. Your account and your users
You are responsible for activity under your account, for keeping credentials secure, and for the people you invite to it. Tell us promptly at [email protected] if you believe an account has been compromised.
You must be at least 18 and must use the service for a business rather than a household.
5. Fees, billing and cancellation
Paid plans are billed monthly in advance through Stripe. Plans differ only in how many unique customers you answer for in a calendar month; where you exceed the included count, additional unique customers are charged at the rate shown at checkout. Calls identified as spam are not billed and do not count toward any included total.
You may cancel at any time from your account; the subscription then runs to the end of the period already paid for and does not renew. Fees already paid are not refundable except where the law requires it or where we have plainly failed to provide the service.
Telephone numbers are rented on your behalf from a carrier. Ending the subscription releases the number, and a released number cannot be recovered.
6. Who owns what
You own your data: your business configuration, your customers' details, your call recordings and transcripts, and the records the agent creates. We own the software.
We may use aggregated, de-identified information about how the service performs — for example, average call duration or classification accuracy — to operate and improve it. That use never includes recordings, transcripts, or anything that identifies you or a caller.
7. Telephone and messaging rules are yours to keep
You are responsible for your own compliance with telephone and messaging law in the places you operate. That includes call-recording consent (see the Call Recording Notice), the TCPA, and the carrier rules governing business text messaging.
The service is provided for inbound calls to your own published numbers. You must not use it to place unsolicited outbound calls or texts.
8. Availability, and what happens when it breaks
We do not promise uninterrupted service. Telephony depends on carriers, and the agent depends on suppliers, any of which can fail.
The service is provided as-is. To the fullest extent the law allows, we exclude implied warranties, and our total liability in any twelve-month period is limited to the fees you paid us in that period. Neither side is liable for indirect or consequential loss, including lost business or lost profit.
Nothing here limits liability for fraud, for death or personal injury caused by negligence, or for anything else that cannot lawfully be limited.
9. Suspension and termination
We may suspend or end an account that breaches these terms or the Acceptable Use Policy, that puts the service or a carrier relationship at risk, or that is unpaid.
Where we end an account without cause we will refund the unused portion of the current period. On termination you may export your data for 30 days, after which it is deleted as described in the Privacy Policy.
10. Changes to these terms
We may change these terms. Where a change materially reduces your rights we will give at least 30 days' notice by email to the address on the account, and continuing to use the service after that date accepts the change.
11. Law and disputes
These terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules, and the state and federal courts located in Delaware have exclusive jurisdiction.
